North Made Studio Terms and conditions are outlined below.
1. GENERAL TERMS:
     a. All quotes are valid for 30 days.
     b. By paying the deposit or providing written approval, you are agreeing to the full terms and conditions as set out in this document.
     c. Any additional round(s) of revisions required which are outside of the agreed amount are charged at the studio hourly rate.
     d. All quotes must be approved in writing.
     2. BACKGROUND:
     a. North Made Studio (NMS) is a creative agency that provides services including CGI, animation, digital design and associated add-ons.
     b. The client (you) seeks to appoint NMS to provide the services.
     c. The client (you) agrees to pay the fees to NMS for its services in accordance with these Terms and Conditions.
     d. All parties involved have reviewed the Terms and Conditions of their agreement as set out below.
     3. ORDER PROCESS AND CONTRACT:
     a. Any written instructions provided by you constitutes an offer to purchase the services from us.
     b. A contract between you and NMS (the ‘Contract’) incorporating these conditions will continue after we
     have confirmed that we will be providing the requested services.
     c. The contract will relate only to the services listed in the quote. We will not be required to supply any other additional services which may have been part of your enquiry until we have sent you a separate or revised quote relating to it.
     4. PAYMENTS:
     a. A 30% deposit is required upfront, before any work is commenced. The remaining 70% will be billed once the project is complete (unless otherwise stated).
     b. All payments received are not refundable in the event the project or the relationship is terminated for any reason. After the deposit is paid, NMS will commence work, if we do not receive sufficient communication from your end to continue the progress of the project within 6 months the project will be terminated and no refunds given.
     c. If any part of the work for this project is delayed for longer than 30 days, NMS will bill for work completed.
     d. Terms of payment are shown on our invoice alongside the details of methods of payment.
     e. By placing an order, you consent to payment being charged as provided on the invoice.
     f. Work will begin once NMS are in receipt of deposit payment and written instructions.
     g. By accepting these conditions, you confirm that all the details you provide to us for the purpose of purchasing the services are correct, and that there are sufficient funds available to cover the cost of the services ordered.
     h. Late payments of invoices may result in ‘late payment’ fee of 6% being applied on a monthly basis until the invoice is settled in full.
     i. If we are obliged to take legal advice or commence Court proceedings regarding any unpaid invoice, You agree to pay our reasonable legal charges and court fees incurred in doing so.
     5. REPRODUCTION OF WORK:
     a. NMS retains personal rights to use the completed project and any preliminary works for the purpose of marketing of NMS’s business.
     6. REJECTION/CANCELLATION OF WORK:
     a. The client shall not unreasonably withhold acceptance of, or payment for, the project.
     b. If, prior to completion of the project, the client observes any non-conformance with the design plan, NMS must be promptly notified, allowing for necessary corrections.
     c. Rejection of the completed project or cancellation during its execution will result in forfeiture of deposit and the possible billing for all additional labor or expenses to date.
     d. All elements of the project must then be deleted or returned to NMS.
     e. Any usage by the client of those works will result in appropriate legal action. Client shall bear all costs, expenses, and reasonable legal fees in any action brought to recover payment under this contract or in which NMS may become a party by reason of this contract.
     7. CLIENT RESPONSIBILITIES:
     a. As our customer, you have the power and ability to enter into this contract on behalf of your company or organisation.
     b. You agree to provide us with all relevant information that we need to complete the project as and when we need it, and in the format that we ask for.
     c. You agree to review our work, provide feedback and sign-off approval within a 48-hour feedback window (unless otherwise agreed).
     d. Deadlines will be agreed and you will be bound by any dates that we set together. We will endeavour to meet all the deadlines set but we can’t be responsible for a missed launch date or a deadline if you have been late in supplying materials or have not approved or signed off our work on-time at any stage
     e. We have the experience and ability to perform the services you need from us and we will carry them out in a professional and timely manner.
     f. We will also maintain the confidentiality of any information that you give us.
     8. PROVIDING CONTENT:
     a. The client is responsible for providing all relevant content (text, images, branding, etc) for use (unless otherwise specified).
     b. It is expected that the content provided is 100% edited and ready for use, if you would like to enlist our copywriting services that can be arranged for an agreed fee.
     c. All images provided need to be in the format that we request and must be approved copyright – we will take no responsibility for images that are found to be stolen or uncredited.
     9. CLIENT APPROVAL:
     a. As our client, we will need you to approve and check all final designs, including proofreading any included type.
     b. NMS will make all efforts to ensure that no information is misrepresented. However, the client assumes
     all responsibility for content.
     c. Your approval of all tangible materials, artwork and proofs will be assumed after the work has been submitted for review, unless you indicate otherwise in writing.
     d. To avoid errors, design or text changes and corrections will not be taken over the telephone and must be provided electronically.
     e. Any design with extensive changes must also be provided as marked up hard copy, indicating the revisions to be made.
     10. REVISIONS:
     a. The estimate/quotation price of this project is based on the number of hours that we estimate we will need to complete your project. If you do wish to change our mind and add additional work to the project it will be agreed in writing with you at an additional cost.
     b. NMS always endeavour to meet all urgent requests however aren’t always in a position to do so therefore please allow us up to 24 hours to respond to all design revisions (subject to project size).
     c. Projects include 3 revisions unless otherwise stated. 1 x ‘revision’ refers to the client providing 1 ‘set’ of feedback and NMS actioning that feedback. Each time feedback is provided, it counts for another ’round’.
     d. Revisions only include changes to information provided in the specification, changes required to add additional or alternative items into the scene are chargeable.
     11. COMPLETION OF PROJECT:
     a. The work outlined in this agreement will be turned around within a reasonable, non-rush schedule to be determined, where possible, and mutually agreed upon at the start of each project. Late or weekend hours incurred to accommodate additional compressed deadlines, if needed, will be negotiated separately. Our schedules assume timely review and response by you, as the client, of all deliverables.
     b. You will receive finished design, in the format of a final file appropriate to the medium. It will be print ready or web ready. We do not give out raw files for you to edit or make changes to. However, NMS may offer you the master file for an additional buyout fee.
     c. Any delay in the completion of the project due to actions or negligence of client, unusual transportation delays, unforeseen illness, or external forces beyond the control of NMS shall entitle NMS to extend the completion date, upon notifying the client, by the time equivalent to the period of such delay.
     d. All work will be completed within the standard work week (Monday through Friday, 9am to 5:30pm).
     e. NMS is closed on all UK bank holidays and for a period of 2 weeks over Christmas and New Year.
     12. ACCEPTANCE OF AGREEMENT:
     a. The above conditions are hereby accepted.
     b. North Made Studio is authorised to execute the project as outlined in this agreement.
     c. Payment will be made as proposed above.
