NORTH MADE STUDIO – TERMS AND CONDITIONS

1. 1. GENERAL TERMS

a. All quotations issued by North Made Studio are valid for 30 days from the date of issue, unless otherwise stated in writing.

b. By paying a deposit, approving a quotation, issuing written instructions or otherwise confirming that North Made Studio should proceed with the project, the client agrees to these Terms and Conditions in full.

c. Any additional rounds of revisions outside the agreed scope or agreed number of revisions will be charged at North Made Studio’s standard hourly rate, unless otherwise agreed in writing.

d. All quotations, instructions, approvals and amendments must be confirmed in writing.

1. 2. BACKGROUND

a. North Made Studio Ltd, referred to within these Terms and Conditions as “North Made Studio”, “NMS”, “we”, “us” or “our”, is a creative agency providing services including CGI, architectural visualisation, animation, digital design, VR tours, marketing content and associated services.

b. The client, referred to within these Terms and Conditions as “the client”, “you” or “your”, appoints North Made Studio to provide the agreed services.

c. The client agrees to pay North Made Studio for the agreed services in accordance with the quotation, invoice and these Terms and Conditions.

d. These Terms and Conditions form the basis of the agreement between North Made Studio and the client, unless otherwise agreed in writing.

1. 3. ORDER PROCESS AND CONTRACT

a. Any written instruction, approval of a quotation, payment of a deposit or request for North Made Studio to commence work constitutes an offer to purchase services from North Made Studio.

b. A contract between the client and North Made Studio is formed once North Made Studio confirms acceptance of the project or begins providing the agreed services.

c. The contract relates only to the services, deliverables and scope listed within the agreed quotation or written proposal.

d. North Made Studio is not required to provide any additional services, deliverables, amendments or project elements outside the agreed scope unless a separate or revised quotation has been issued and approved in writing.

1. 4. PAYMENTS

a. Unless otherwise stated in writing, a 30% deposit is required before any work commences. The remaining 70% will be invoiced once the project is complete.

b. All payments received are non-refundable if the project or working relationship is terminated for any reason.

c. Once the deposit has been paid, North Made Studio will commence work. If the client does not provide sufficient communication, information, feedback or approvals required to progress the project within 6 months, North Made Studio reserves the right to terminate the project and no refund will be provided.

d. If any part of the project is delayed for longer than 30 days due to a lack of client feedback, information, approval, instruction or other client-side delay, North Made Studio reserves the right to invoice for all work completed to date.

e. For projects with a value greater than £10,000, payment may be required in instalments throughout the project duration at North Made Studio’s discretion. The payment schedule will be confirmed in writing where applicable.

f. If a project is placed on hold, paused or delayed for more than 7 days, North Made Studio reserves the right to invoice for all work completed to date.

g. Payment terms will be stated on the relevant invoice, together with accepted methods of payment.

h. By placing an order, approving a quotation or instructing North Made Studio to proceed, the client agrees to make payment in accordance with the relevant quotation, invoice and these Terms and Conditions.

i. Work will begin once North Made Studio has received the required deposit payment and written instruction to proceed.

j. By accepting these Terms and Conditions, the client confirms that all details provided for the purpose of purchasing the services are correct and that sufficient funds are available to cover the cost of the services ordered.

k. Late payment of invoices may result in a late payment fee of 6% being applied on a monthly basis until the invoice is settled in full.

l. If North Made Studio is required to take legal advice, instruct a debt recovery service or commence court proceedings in relation to an unpaid invoice, the client agrees to pay all reasonable legal charges, court fees, recovery costs and associated expenses incurred by North Made Studio.

1. 5. REPRODUCTION OF WORK

a. North Made Studio retains the right to use completed project work, draft work and preliminary work for the purpose of promoting and marketing North Made Studio’s business, unless otherwise agreed in writing.

b. This may include, but is not limited to, use on North Made Studio’s website, social media channels, presentations, credentials documents, award submissions, case studies, printed materials and other promotional activity.

1. 6. INTELLECTUAL PROPERTY, OWNERSHIP AND USAGE RIGHTS

a. All intellectual property rights, copyright, source files, working files, drafts, visuals, animations, VR tours, design concepts, project files, digital assets and all other project materials created by North Made Studio remain the sole property of North Made Studio unless and until all invoices relating to the project have been paid in full.

b. Payment in full means receipt of all cleared funds for all invoices, fees, expenses, additional works, revisions, late payment fees or other charges relating to the project.

c. Until full payment has been received, the client is not permitted to publish, reproduce, distribute, market, sell, upload, host, share, issue, use or otherwise exploit any project materials, draft works or final deliverables produced by North Made Studio.

d. Upon receipt of full cleared payment, the client is granted a licence to use the final approved deliverables for the agreed purpose.

e. No ownership of copyright, raw files, working files, project files, 3D models, scenes, source files, editable files or master files is transferred to the client unless expressly agreed in writing and subject to a separate buyout fee.

f. North Made Studio reserves the right to withhold, suspend, watermark, remove, disable, restrict access to or take offline any deliverables, hosted content, VR tours, animations, visuals, websites, files or marketing collateral where payment remains overdue.

g. Any unauthorised use of project materials before full payment has been received may result in legal action. The client shall be responsible for all reasonable legal costs, recovery costs and expenses incurred by North Made Studio in enforcing its rights.

1. 7. REJECTION OR CANCELLATION OF WORK

a. The client shall not unreasonably withhold acceptance of, or payment for, the project.

b. If, prior to completion of the project, the client identifies any issue, error or non-conformance with the agreed design brief, North Made Studio must be notified promptly and given the opportunity to make the necessary corrections.

c. Rejection of the completed project, or cancellation of the project during its execution, will result in forfeiture of the deposit and may result in the client being invoiced for all additional labour, time, costs and expenses incurred up to the date of cancellation.

d. Where a project is rejected, cancelled or terminated before full payment has been made, all project materials, draft work, visuals, files and deliverables must be deleted, returned to North Made Studio or removed from use immediately.

e. Any use of cancelled, rejected, unpaid or partially paid project work without written permission from North Made Studio may result in legal action.

f. The client shall be responsible for all reasonable costs, expenses and legal fees incurred by North Made Studio in recovering payment or enforcing its rights under these Terms and Conditions.

1. 8. CLIENT RESPONSIBILITIES

a. The client confirms that they have the power and authority to enter into this agreement on behalf of their company, organisation or project team.

b. The client agrees to provide North Made Studio with all relevant information required to complete the project, as and when requested, and in the format requested.

c. This may include, but is not limited to, drawings, plans, elevations, sections, specifications, finishes schedules, branding, photography, site information, references, moodboards, written content and technical information.

d. The client agrees to review work, provide feedback and approve stages of work within a 48-hour feedback window, unless otherwise agreed in writing.

e. Project deadlines will be agreed between North Made Studio and the client. North Made Studio will endeavour to meet all agreed deadlines, but shall not be responsible for missed deadlines, launch dates or delays where the client has been late in supplying information, feedback, approvals, instructions or sign-off.

f. North Made Studio has the experience and ability to perform the agreed services and will carry them out in a professional and timely manner.

g. North Made Studio will maintain the confidentiality of any confidential information provided by the client, unless disclosure is required by law or agreed in writing.

1. 9. PROVIDING CONTENT

a. The client is responsible for providing all relevant content required for the project, including text, images, branding, photography, drawings, technical information and other materials, unless otherwise agreed in writing.

b. All content provided by the client should be final, accurate, approved and ready for use.

c. If the client requires copywriting, editing, formatting, research, image sourcing or other content support from North Made Studio, this can be provided for an additional fee to be agreed in writing.

d. All images, artwork, branding, logos, drawings, references and other materials supplied by the client must be legally approved for use.

e. North Made Studio accepts no responsibility for any client-supplied content, images, artwork or materials that are found to be unauthorised, unlicensed, stolen, incorrect, misleading or uncredited.

1. 10. CLIENT APPROVAL

a. The client is responsible for reviewing and approving all final designs, visuals, animations, documents, artwork, text and other deliverables.

b. North Made Studio will make reasonable efforts to ensure that information is represented accurately. However, the client assumes responsibility for checking and approving all content, design details, project information, spelling, grammar, product details, specifications and technical accuracy.

c. Approval of tangible materials, artwork, proofs, visuals, drafts or deliverables will be assumed once the work has been submitted for review, unless the client confirms otherwise in writing within the agreed feedback period.

d. To avoid errors, design changes, text changes, corrections and revision requests must be provided electronically and not by telephone.

e. Where revisions are extensive or complex, North Made Studio may request marked-up drawings, marked-up PDFs, written schedules of amendments or other clearly documented instructions before proceeding.

1. 11. REVISIONS

a. The quotation for each project is based on the estimated time, scope and resources required to complete the agreed deliverables.

b. If the client wishes to change the scope, add additional work, alter the brief, add new deliverables or request work outside the original quotation, this must be agreed in writing and may be subject to an additional fee.

c. North Made Studio will endeavour to respond to urgent requests where possible, but the client should allow up to 24 hours for North Made Studio to respond to design revisions, subject to project size and studio workload.

d. Unless otherwise stated, projects include 3 rounds of revisions.

e. One round of revisions means the client providing one consolidated set of feedback and North Made Studio actioning that feedback.

f. Each separate set of feedback provided by the client counts as an additional round of revisions.

g. Revisions include reasonable amendments to information, details or requirements provided within the original agreed specification.

h. Changes required as a result of new information, a change of brief, additional items, alternative design directions, new layouts, revised drawings, specification changes or additions to the scene may be chargeable.

1. 12. COMPLETION OF PROJECT

a. The work outlined in the quotation or agreement will be completed within a reasonable, non-rush schedule to be determined, where possible, and agreed at the start of each project.

b. Late hours, weekend hours, rush work or compressed deadlines required to accommodate urgent requests may be charged separately and must be agreed in writing.

c. Project schedules assume timely review, feedback, information and approval from the client at each stage.

d. The client will receive finished final files in the format appropriate to the agreed medium, subject to all invoices relating to the project being paid in full.

e. Final files may be supplied in print-ready, web-ready, digital, video, image, presentation or other appropriate formats depending on the agreed deliverables.

f. North Made Studio does not provide raw files, working files, master files, editable files, 3D scenes, models, project files or source files unless expressly agreed in writing.

g. North Made Studio may offer master files, source files or extended rights as part of a separate buyout agreement for an additional fee.

h. Any delay in completion caused by the client, including delay in providing information, feedback, approvals or instructions, shall entitle North Made Studio to extend the project completion date by a reasonable period.

i. North Made Studio shall not be liable for delays caused by circumstances outside its reasonable control, including but not limited to illness, technical failure, transport delays, supply chain issues, force majeure events, third-party delays or external factors beyond North Made Studio’s control.

j. All work will be completed within North Made Studio’s standard working week, Monday to Friday, 9:00am to 5:30pm, unless otherwise agreed in writing.

k. North Made Studio is closed on all UK bank holidays and may close for a period over Christmas and New Year.

1. 13. ACCEPTANCE OF AGREEMENT

a. These Terms and Conditions are accepted by the client when the client approves a quotation, pays a deposit, provides written instruction, confirms approval to proceed or otherwise instructs North Made Studio to begin work.

b. North Made Studio is authorised to carry out the project as outlined in the agreed quotation, proposal, invoice, written instruction or agreement.

c. Payment will be made in accordance with the relevant quotation, invoice and these Terms and Conditions.

d. These Terms and Conditions shall apply to all work carried out by North Made Studio unless alternative terms are expressly agreed in writing by North Made Studio.
